Sales Conditions

The present Sales Agreement (the "Agreement") disciplines the formalities and the conditions of sale through the site www.nssdirect.eu of the software products (in the succession the "Products") commercialized by MARTINI MARIA CRISTINA (in the succession "MMC"). All sales of Products from MMC to third parts (the "Customers") are regulated by the present Agreement, which is integral and substantial part of every proposal, order and confirmation of order of purchase of the Products themselves.
The applicable sales conditions to your order are those in vigour to the date of the order.



1. Products: Prices, Characteristics and Warranties

1.1 Except where specifically indicated, the prices of the Products published on this site are VAT excluded, and inclusive of shipping and handling, if any. Italian domestic orders are subject to the application of the VAT. The orders coming from all other countries are approved only if the customer possesses a valid VAT number, and are VAT Exempted: it will remain direct liability of the Customer to comply to the VAT concerning laws valid in his/her own Country. Orders will not be accepted if coming from Customers without a valid VAT number.

1.2 Prices are updated periodically, but they can suffer sudden variations without notice; the final prices can differ from those suitable on the site. We reserve us the right to confirm or to modify the prices of the Products published in this site during the order confirmation: in case of difference in the prices, communication of the new prices will be given, and acceptance of the variations will be required before any further order processing.

1.3 All offered products are subjected to the terms of the original End User License Agreement (given by the software Producer) included in each product, and all sales are final. Fully functional demo versions of all Products are available: you may use this demo version to evaluate Product's function and its suitability for your needs before purchase.

1.4 The technical and functional characteristics of Products sold on this site are those communicated by the respective Producers. We don't assume any further liability respect the truthfulness and completeness of such information. The images of the Products are indicative and not binding. The Customer is directly responsible of the choice of the Products and the correspondence and conformity of the specifications declared by the Producer to his/her own need.

1.5 MMC gives no further warranty on the Products in addition to the one given by the Producer. Technical support and assistance under warranty on the Products are exclusively effected by the Producer, according to the terms and conditions brought in the documentation attached to the Products themselves. Important: MMC doesn't give any other kind of warranty concerning the compatibility of the Products with other softwares or hardwares used by the Customer, neither gives any warranty concerning the fitness of the Products for the specific use thought by the Customer.

1.6 Excluded the hypothesis of malice or negligence of MMC, Customer agrees since now that, in the case that will be verified the liability of MMC to some warranty towards the Customer - included the case of the breach, overall or partial, to the obligations assumed by MMC towards the Customer about the execution of an order - the liability of MMC cannot be superior to the price of the Products purchased by the Customer and for which the legal argument has risen.



2. Orders - Billing

2.1 Orders are accepted only if transmitted trough the following methods:

• on-line (through the ordering procedure available on this site);
• by fax (sent to the fax n° +39 06 79841886);
• by e-mail (sent to the address orders@nssdirect.eu);

Telephone orders are not accepted.

2.2 All orders must contain all the data requested by the Italian law for Invoicing (Company name and complete Company address, Company VAT number, as well as the Company Fiscal Code for the orders coming from Italy), the quantity and the complete description of the Products with the relative Product Code, and the shipping address (if different from the Invoice address). Every transmitted order constitutes contractual proposal from the Customer and, therefore, it will be binding for MMC only if confirmed for acceptance by MMC. The execution of the order represents its confirmation and acceptance.

2.3 MMC reserves the right to not accept incomplete or missing orders. In case of missed execution of the order by MMC (if due to unavailability of the Products ordered by the Customer), we'll inform the Customer as soon as possible, already refunding the total amount eventually paid; no other kind of refund or indemnifications will be made. If the Products have been ordered through the on-line payment system and already paid by credit card, the missed execution of the order won't cause any debit on the credit card: the order will be deleted and no charge will be applied to the card.

2.4 The fiscal documentation (Invoice) related to each order will be sent by MMC after the execution of the order itself. In case of partial lack of the fiscal data the order cannot be executed.


3. Payments

3.1 The Products purchased on this site can be paid by credit card (through the secure on-line procedure provided by Banca Sella bank) or through bank transfer in advance.


4. Delivery of the Products

4.1 All the Products on sale on this site are delivered electronically. If foreseen, in some cases the physical medium can be included in the order: in that case, shipping and handling are already included in the price, with no additional charge.

4.2 The electronic licenses are normally delivered within 48 hours from the payment confirmation. The terms of delivery are not binding for MMC, which can subsequently confirm or modify them. Orders may be exceptionally delayed up to 30 (thirty) days from the date of the order: this delay doesn't give right to the Customer to refuse the delivery of the Products, neither to pretend refunds or indemnifications of any kind; it being understood what foreseen by the point 1.6 of the present Agreement.


5. Competent Jurisdiction

5.1 Commercial domicile for the performance of the contracting parties is the registered seat of MMC, Rome, Italy. The contracting parties agree that all legal relations of this contract now and after fulfilment of the contract shall be construed and enforced in accordance with Italian law.


6. Agreement Translation

6.1 This translation is only given as facility to the Customer: you must exclusively refer to the Italian Version of this Agreement, that will be the only one to be used as legal base for any kind of legal argument.



To the senses and for the effects of the Articles 1341 and 1342 of the Italian Civil Code, the Customer declares to have attentively read, understood and to accept specifically the following clauses of this Sales Agreement: 1.1, 1.2, 1.3, 1.4, 1.5, 1.6, 2.1, 2.2, 3.1, 4.1, 4.2, 5.1 and 6.1
